These Terms and Conditions ("Terms", "Terms of Service") govern your access to and use of Zentia ("the App", "the Service", "we", "our", "us"), a personal finance management application.

By accessing or using Zentia, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, downloading, installing, or using Zentia, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not use Zentia.

2. Description of Service

Zentia is a personal finance management application that allows users to:

  • Track income and expenses
  • Create and manage budgets
  • Monitor multiple financial accounts
  • Set up planned expenses and reminders
  • Generate financial reports and insights
  • Access AI-powered financial assistance and analysis (currently disabled, may be enabled in the future)
  • Synchronize financial data across multiple devices

Important:

Zentia is a personal finance tracking tool. It is NOT a banking institution, payment processor, investment advisor, tax preparation service, or credit reporting agency. Zentia does not hold, transfer, or manage your money. We do not provide financial, legal, tax, or investment advice.

3. Eligibility and Account Registration

Age Requirement

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use Zentia. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service.

Account Creation

To use Zentia, you must:

  1. Create an account by providing a valid email address and creating a secure password
  2. Provide accurate, current, and complete information during registration
  3. Maintain and promptly update your account information to keep it accurate
  4. Maintain the security of your account credentials

Account Responsibility

You are solely responsible for:

  • All activities that occur under your account
  • Maintaining the confidentiality of your password
  • Any loss or damage arising from unauthorized use of your account
  • Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to comply with these security obligations.

4. User Responsibilities and Acceptable Use

Acceptable Use

You agree to use Zentia only for lawful purposes and in accordance with these Terms. You agree NOT to:

  1. Violate Laws: Use the Service in any way that violates applicable local, state, national, or international laws or regulations
  2. Infringe Rights: Infringe upon or violate our intellectual property rights or the rights of others
  3. Harmful Activities: Transmit viruses, malware, or malicious code; attempt to gain unauthorized access; interfere with or disrupt the Service; use automated systems without permission
  4. False Information: Provide false, inaccurate, or misleading information
  5. Reverse Engineering: Attempt to reverse engineer, decompile, or disassemble any part of the Service
  6. Commercial Use: Use the Service for any commercial purpose without our express written consent
  7. Data Mining: Extract, scrape, or collect data from the Service for purposes other than your personal use

Data Accuracy

You are responsible for:

  • Entering accurate financial information
  • Verifying the correctness of your transactions, budgets, and accounts
  • Keeping your financial data up to date

Zentia is not responsible for errors in financial data that you enter, or for decisions you make based on that data.

5. Financial Information and No Financial Advice

All features, insights, reports, analytics, and AI-generated content provided by Zentia are for informational and educational purposes only. They do not constitute:

  • Financial advice
  • Investment recommendations
  • Tax advice
  • Legal advice
  • Professional financial planning

Your Financial Decisions

You are solely responsible for:

  • All financial decisions you make
  • Verifying the accuracy of information before making financial decisions
  • Consulting with qualified financial, tax, or legal professionals when appropriate
  • Understanding the implications of your financial choices

No Guarantees

Zentia does not guarantee:

  • The accuracy, completeness, or timeliness of any information provided
  • That using Zentia will improve your financial situation
  • Specific financial outcomes or results
  • That the Service will meet your specific requirements

Note: AI-powered features are currently disabled in Zentia. If AI features are enabled in the future, our AI assistant would provide general information and insights based on your data. AI-generated content may contain errors, should not be relied upon as the sole basis for financial decisions, and does not replace professional financial advice.

6. Subscription Plans and Payments

Free and Paid Plans

Zentia offers different subscription plans:

  • Free Plan: Basic features with limitations
  • Zentia Plus: Premium features with extended capabilities (trial and paid options available)

Subscription Terms

  • Subscriptions are billed in advance on a recurring basis
  • Subscription fees are non-refundable except as required by law
  • We reserve the right to change subscription prices with 30 days' notice
  • Your subscription will automatically renew unless cancelled

Payment Processing

Payments are processed through Stripe, a third-party payment processor. You agree to provide current, complete, and accurate payment information. Payment card details are never stored on our servers.

Cancellation and Refunds

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • Refunds are provided only as required by applicable law or at our sole discretion
  • No refunds for partial subscription periods

7. Intellectual Property Rights

Our Ownership

Zentia and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

This includes the Zentia name, logo, branding, software code, design, user interface, documentation, and all content provided through the Service (except your user data).

Your Data Ownership

You retain all ownership rights to your financial data and content that you upload or enter into Zentia. By using the Service, you grant us a limited, non-exclusive license to store, process, and display your data to provide the Service.

License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Zentia for your personal, non-commercial use. This license does not include the right to resell, redistribute, modify, adapt, or create derivative works.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Service Availability and Modifications

Availability

We strive to provide reliable service, but we do not guarantee that Zentia will be available at all times, free from errors, compatible with all devices, or secure from unauthorized access.

Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, add or remove features, change pricing or subscription plans (with notice), and perform maintenance that may temporarily interrupt service.

Data Loss

While we implement backup and recovery procedures, we are not responsible for loss of data due to technical failures, data corruption, unauthorized access leading to data loss, or service interruptions affecting data availability.

We strongly recommend that you maintain your own backups of important financial data.

10. Limitation of Liability

Disclaimer of Warranties

ZENTIA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OR RELIABILITY OF INFORMATION.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, DATA, OR USE, FINANCIAL LOSSES RESULTING FROM USE OF THE SERVICE, DECISIONS MADE BASED ON INFORMATION PROVIDED BY ZENTIA, ERRORS OR INACCURACIES IN DATA YOU ENTER, SERVICE INTERRUPTIONS OR UNAVAILABILITY, OR UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with your use of Zentia, your violation of these Terms, your violation of any rights of another, or your violation of any applicable laws or regulations.

12. Account Termination

Termination by You

You may terminate your account at any time by contacting us with a deletion request or following account deletion procedures in the app (if available). Upon termination, your access to the Service will be immediately suspended, and your data will be deleted in accordance with our Privacy Policy.

Termination by Us

We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent, abusive, or illegal activity, fail to pay subscription fees when due, we are required to do so by law, or we discontinue the Service.

13. Third-Party Services and Links

Zentia integrates with third-party services, including Supabase (authentication and data storage), OpenAI (AI-powered features, currently disabled), Stripe (payment processing), and Exchange Rate APIs (currency conversion).

These services have their own terms and conditions and privacy policies. We are not responsible for the practices, availability, functionality, or data handling of third-party services, or any issues arising from third-party service failures. Your use of third-party services is subject to their respective terms and privacy policies.

14. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.

Dispute Resolution Process

If you have a dispute with us, you agree to:

  1. Contact us first to attempt to resolve the dispute
  2. Engage in good faith negotiations for at least 30 days
  3. Participate in mediation before pursuing litigation (if applicable)

Class Action Waiver

You agree that any disputes will be resolved individually and not as part of a class action, consolidated action, or representative proceeding.

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of these Terms. For material changes, we will notify you through in-app notifications, email to your registered address, and prominent notice on our website.

Your continued use of Zentia after changes become effective constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and may delete your account.

16. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet or telecommunications failures.

By using Zentia, you acknowledge that:

  • You understand that Zentia does not provide financial, legal, or investment advice
  • You are solely responsible for your financial decisions

These Terms and Conditions are effective as of January 1, 2024 and apply to all users of Zentia.
